1. Introduction
ZippiBill is a business billing and operations platform for restaurants, cafes, bakeries, cloud kitchens, QSRs, takeaway counters, mobile phone retailers, garment stores, grocery and marts, service counters and other retail businesses.
ZippiBill is a product of Nusuk Software LLP, Nagpur, Maharashtra, India. References to "ZippiBill", "we", "our" or "us" mean Nusuk Software LLP and the ZippiBill product, unless the context requires otherwise.
If you do not agree with these Terms, please do not access or use ZippiBill.
2. Definitions
- Services means the ZippiBill website, POS, billing, KOT, inventory, GST, accounting, reporting, digital ordering, outlet management, support and related services.
- Customer or you means the business, outlet owner, staff member, counter user, administrator or other person using the Services.
- Business Data means data entered, generated or processed through ZippiBill, including products, prices, taxes, invoices, KOTs, orders, payments, customer records, stock and reports.
- Account means your registered ZippiBill workspace, outlet, counter, user or subscription access.
3. Eligibility and Account Registration
You may use ZippiBill only for lawful business purposes. You are responsible for providing accurate account, business, outlet, tax and contact information, and for keeping it updated.
- You are responsible for all activity under your account, outlet, counter and staff users.
- You must keep login credentials confidential and restrict access to authorized users only.
- You must promptly notify us of unauthorized access, misuse or security concerns.
- We may suspend access if account information is false, incomplete, risky or used in violation of these Terms.
4. License to Use ZippiBill
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable and revocable right to use ZippiBill for your internal business operations.
You may not copy, resell, sublicense, reverse engineer, modify, misuse or attempt to gain unauthorized access to the Services, source code, databases, infrastructure or other customer accounts.
5. Acceptable Use
You agree to use ZippiBill responsibly and in compliance with applicable laws, including tax, GST, accounting, consumer, employment, data protection and payment-related requirements.
- Do not use ZippiBill for illegal, fraudulent, harmful, deceptive or abusive activities.
- Do not upload malicious code, disrupt services, bypass security or interfere with other users.
- Do not submit false invoices, fake transactions or misleading business records.
- Do not use ZippiBill to send spam, unauthorized marketing or unlawful communications.
- Do not misuse demo, trial, support, integration or payment workflows.
6. Business Data and Compliance
Your Business Data belongs to your business. You are responsible for verifying the accuracy of products, prices, discounts, tax/GST rates, invoices, purchase entries, stock values, customer records, staff records and reports generated through ZippiBill.
ZippiBill helps you manage billing, inventory, GST, accounting and reporting workflows, but it does not replace professional tax, legal or accounting advice. You should review important records before filing returns, issuing final invoices or making business decisions.
7. Payments, Subscription and Billing
- Some ZippiBill features may require a paid subscription, plan, setup fee, renewal fee, usage fee or integration charge.
- Fees, plan limits, features and renewal terms may vary by business type, outlet count, modules, users, counters, devices and integrations.
- Taxes, GST, payment gateway fees or other statutory charges may be added where applicable.
- Unless agreed otherwise in writing, fees paid for subscriptions, setup, customization, onboarding or renewals are non-refundable.
- We may suspend or restrict services for overdue payments, failed renewals or payment disputes.
8. Trials, Demos and Beta Features
We may offer demos, trials, pilot access, beta modules or early features. These may be limited, changed, withdrawn or discontinued at any time. Trial or beta features may not include all production safeguards and should not be relied on for critical business use unless we confirm otherwise in writing.
9. Integrations and Third-Party Services
ZippiBill may connect with payment providers, printers, delivery platforms, WhatsApp or SMS providers, analytics tools, hosting services, accounting tools and other third-party systems. Third-party services are governed by their own terms, charges and policies.
We are not responsible for delays, outages, errors, pricing changes, data handling or service failures caused by third-party platforms, networks, devices, operating systems, printers or payment providers.
10. Hardware, Devices and Local Setup
ZippiBill may be used across desktops, tablets, mobiles, counters, printers and related hardware where supported. You are responsible for maintaining compatible devices, browsers, internet, local network, printer configuration and operating system updates.
Performance can be affected by device quality, network speed, browser settings, local printer drivers, power issues and third-party software installed on your systems.
11. Intellectual Property
ZippiBill, its software, website, designs, workflows, logos, brand assets, reports, templates, code, documentation and related materials are owned by Nusuk Software LLP or its licensors. These Terms do not transfer any intellectual property rights to you.
You may not use ZippiBill branding, screenshots, marketing material or product assets in a misleading way or without permission, except for reasonable internal business use.
12. Confidentiality
Both parties may receive confidential business, technical, pricing, product, customer or operational information. Each party agrees to protect confidential information with reasonable care and use it only for purposes related to the Services.
13. Privacy
Our collection and use of personal and business information is described in our Privacy Policy. By using ZippiBill, you agree that we may process information as described there and as required to provide the Services.
14. Service Availability and Support
We work to keep ZippiBill reliable and secure, but we do not guarantee uninterrupted, error-free or always-available service. Maintenance, upgrades, network issues, hosting incidents, device problems or third-party outages may affect access.
Support may be provided by email, phone, remote assistance or other channels based on your plan and business requirements.

16. Limitation of Liability
To the maximum extent permitted by law, Nusuk Software LLP and ZippiBill will not be liable for indirect, incidental, special, consequential, punitive or exemplary damages, including loss of profit, revenue, goodwill, data, business opportunity, customers or expected savings.
Our total liability for any claim related to the Services will not exceed the amount paid by you to ZippiBill for the affected paid service during the three months immediately before the event giving rise to the claim.
17. Suspension and Termination
We may suspend or terminate access if you violate these Terms, fail to pay fees, misuse the Services, create security risk, breach law, infringe rights or use ZippiBill in a way that harms the platform or other users.
You may stop using ZippiBill at any time. Certain legal, payment, tax, audit, confidentiality and liability obligations may continue after termination.
18. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be posted on this page with a revised "Last updated" date. Continued use of ZippiBill after changes are posted means you accept the updated Terms.
19. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Subject to applicable law, courts located in Nagpur, Maharashtra, India will have jurisdiction over disputes arising from or relating to these Terms or the Services.
